By selecting the "Confirm Order" button herein, you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By selecting "Confirm Order" you consent to be legally bound by this Agreement's terms and conditions. You further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, or to otherwise provide SchoolDesk, or in accessing or making any transaction regarding any agreement, acknowledgement, consent terms, disclosures, renewals, extensions or conditions constitutes your signature (hereafter referred to as "E-Signature"), acceptance and agreement as if actually signed by you in writing. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your E-Signature or any resulting contract between you and SchoolDesk. You also represent that you are fully authorized to enter into this Agreement for and on behalf of all persons and entities who manage or are employed by the educational institution which you represented at the time of this electronic purchase and that all such persons and entities will be bound by the terms of this Agreement. You further agree that each use of your E-Signature in obtaining SchoolDesk services constitutes your agreement to be bound by any and all terms and conditions of the Service Agreement located HERE as they exist on the date of your E-Signature
This service agreement is made by and between SchoolDesk and the individual named and identified herein (herein referred to as the "Client") and the school and/or school district represented by said individual. The purpose of this Service Agreement (hereafter referred to as the “Agreement”) is to provide a contract arrangement under which SchoolDesk will provide Total Content Management services (hereinafter referred to as the "Service") on behalf of Client.
Subject to the terms and conditions of this Agreement, SchoolDesk will provide Total Content Management services for Client subject to the following terms:
Length of Service.
Client agrees to an initial twelve (12) month contractual term of service (“Term”).
Service Start Date.
Total Content Management services shall begin upon the date of the electronic submission of signup form located at www.schooldesk.net. SchoolDesk’s receipt of payment for the first Term of annual service will be within 30 days of the submission of the signup form and/or start of said Service start date.
Renewal by Client.
This Agreement may, at the request and agreement by Client, renew for an additional successive twelve (12) month Terms after the initial twelve (12) month service period, but may be cancelled upon request prior to the commencement of any renewal periods if notification of such intent is received by SchoolDesk in writing at least 30 days prior to any such annual renewal period beginning. Renewal prices for Service is ‘locked-in’ and guaranteed to never increase regardless of number of voluntary or automatic renewal service periods. Not refunds or prorated amounts will be returned for any unused terms of service if the service is cancelled prior to the end of the term.
Cost for Service, including any and all content changes, additions, updates, creation or modifications will be $300.00 per year and includes the following:
UNLIMITED document, photo and video file upload and addition to any web page(s)
UNLIMITED verbiage, text, or numeric changes, additions and/or modifications to any web page(s)
UNLIMITED live support via web chat, phone, email, helpdesk and web meeting
All current and future SchoolDesk features, improvements and upgrades
TERMS OF PAYMENT
Client shall pay to SchoolDesk a one-time annual payment of no more than $300.00 (the full annual cost of service) via check or money order within 30 days of the beginning of any annual service period. Such annual payments shall constitute full and complete payment for annual services.
Proprietary information exchanged hereunder shall be treated as such by SchoolDesk and Client. This information shall include, but not be limited to, the provisions, terms and pricing of this Service Agreement, product features and services information. Client further agrees to not disassemble, decode or reverse engineer any SchoolDesk program, component, code or technology delivered to Client or any portion thereof.
SchoolDesk will exercise no control whatsoever over the content of the information being requested to be added to any website(s) or page(s) and Client shall continue to have complete control and autonomy over all content within the website, including to correct, change or modify any content which was added, changed or modified by SchoolDesk on Client's behalf.
SchoolDesk makes no warranties or representations of any kind, whether expressed or implied for the service it is providing. SchoolDesk also disclaims any warranty of merchantability or fitness for any particular purpose and will not be responsible for any damages (physical, emotional, monetary or otherwise) that may be suffered by Client, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of Client. Use of any information obtained by way of SchoolDesk is at Client's own risk, and SchoolDesk, its employees, owners and representatives specifically denies any responsibility for the accuracy or quality of information obtained through its services. SchoolDesk specifically denies any and all responsibilities for any damages arising as a consequence of any such actions performed on behalf of Client.
TRADEMARKS AND COPYRIGHTED MATERIAL
Client warrants that it has the right to use any applicable trademarks or copyrighted material used in connection with this service. Any posting, sharing, displaying, or replicating of any copyrighted materials, logos, images, text, etc. on any SchoolDesk website by Client or on Clients behalf are ultimately and entirely the responsibility of Client, and not any responsibility of SchoolDesk, its employees, owners or staff in any way or part.
No early termination considerations or options are considered herein by either party, and Client herby agrees to fulfill all terms and conditions herein, including, but not limited to, any and all annual renewal terms and annual payment requirements thereof.
If legal proceedings are commenced to resolve a dispute arising out of, or relating to, this Agreement, the prevailing party shall be entitled to recover all costs, legal fees, and expert witness fees as well as any costs or legal fees in connection with any appeals.
Client shall indemnify and hold SchoolDesk harmless from and against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable attorney fees) of whatsoever kind and nature that may be asserted, granted or imposed against SchoolDesk directly or indirectly arising from or in connection with Client's marketing or support Service or the unauthorized representation of the Service or any breach of this Agreement by Client.
If any provision of this Agreement is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. A failure by any party to exercise or delay in exercising a right or power conferred upon it in this Agreement shall not operate as a waiver of any such right or power.
